Job Description:

We are offering an opportunity for an experienced Attorney/Lawyer to join our legal team located in Stockton, California. This role is crucial in providing legal advice to businesses, drafting and reviewing contracts, and advising clients on legal compliance issues. As an Attorney/Lawyer, your role is pivotal in maintaining business operations and ensuring all legal aspects are managed effectively.

Job Responsibility:

Provide legal advice to individuals and businesses, giving careful consideration to aspects such as tax implications and liability protection
Form and register business entities like corporations and limited liability companies
Draft, review, and negotiate various forms of contracts including management or operating agreements, purchase and sale agreements, leases, and employment agreements
Understand and advise clients on legal compliance issues including licensing, permitting, reporting requirements, and other regulations
Advise officers, directors, and shareholders of business entities concerning their rights and obligations
Stay informed on changes in applicable law and advise clients of the same
Perform due diligence and assist with mergers, acquisitions, asset sales, stock sales, and other forms of corporate reorganization
Advise and assist clients with respect to the protection of intellectual property and trade secrets
Research, evaluate, and resolve a variety of complex legal matters
Develop and maintain client relationships and generate business, including representing the firm at community events
Assign and supervise the work of other attorneys and staff

Requirements:

Possession of a valid law license and good standing with the Bar Association
Minimum of one year of experience as an attorney or lawyer, preferably in the field of Business & Commercial Law
Proven ability in handling transactional matters, including drafting, reviewing, and negotiating legal documents
Strong knowledge of Commercial Law and Transactional Law
Excellent ability to develop legal strategies and objectives
Outstanding negotiation skills and the ability to interpret laws, rulings, and regulations
Demonstrated skills in managing client relationships and providing high-quality legal advice
Exceptional communication and presentation skills
Ability to work independently and as part of a team
Strong analytical thinking and problem-solving skills
Proficiency in legal research techniques and software
