Job Description:

We are in search of a Corporate Counsel for our Wholesale Distribution sector in Houston, Texas. In this role, you'll be immersed in a variety of tasks such as processing commercial contracts, maintaining customer records, and resolving complex inquiries. You'll play a key role in our team, ensuring the legal aspects of our operations run smoothly.

Job Responsibility:

Process and negotiate a high volume of commercial contracts and master service agreements efficiently
Maintain accurate records of all legal documents and transactions
Resolve customer inquiries and disputes related to receivable collections and warranty claims
Support the management of our intellectual property portfolio, including patent applications and licensing
Assist in the negotiation and execution of mergers and acquisitions
Deliver clear and effective communication to both internal and external stakeholders
Conduct audits to ensure compliance with industry regulations and standards
Utilize business systems such as 3M and athenahealth to streamline processes
Provide support for litigation matters, including working with outside counsel when necessary
Document all legal procedures and changes, ensuring accurate record keeping

Requirements:

Minimum of 5 years of experience working as a Corporate Counsel or similar role within the Wholesale Distribution industry
Proficient in handling commercial contracts and claim administration
Strong experience with 3M, athenahealth, and ATS - Asynchronous Transfer Mode
Adept in the use of business systems such as Careerbuilder
Proven auditing skills with the ability to identify and mitigate risks
Excellent communication skills, both written and verbal, for liaising with various departments and stakeholders
Proficiency in creating and maintaining clear, concise documentation
