Job Responsibility:
Corporate Governance: Assist in the preparation and maintenance of corporate records, including resolutions, minutes of meetings, and organizational documents for the corporation and its subsidiaries
Compliance: Monitor and ensure compliance with corporate policies, filings, and regulations, including Secretary of State filings, registrations, and licensing requirements
Transactional Support: Provide assistance with mergers, acquisitions, and other corporate transactions by organizing and reviewing contracts, due diligence materials, and closing documents
Contract Management: Draft, review, and manage a variety of corporate contracts, including NDAs, vendor agreements, and service contracts
Legal Research: Conduct research on applicable laws, regulations, and corporate compliance standards to support the legal team
General Support: Provide administrative assistance to attorneys, manage document databases, and maintain relevant legal files and calendars
Requirements:
Minimum of 3+ years of corporate or in-house legal experience with a focus on corporate governance, transactions, or compliance
Paralegal Certificate and/or bachelor’s degree in legal studies, business, or a related field
Exceptional organizational and time-management skills, with the ability to manage multiple priorities and deadlines
Strong written and verbal communication abilities
Proficiency in legal research tools (Westlaw, LexisNexis) and document management programs (such as iManage or SharePoint)
Experience working in a corporate legal department or advising corporations on governance and compliance issues
Familiarity with California laws and regulatory requirements
