Provide legal support and advice across all divisions of the company, ensuring compliance with applicable laws in areas such as property development, construction. Draft, review, and finalise a range of agreements. Coordinate with external counsels on legal matters. Assist HR with industrial relations issues. Support the company’s restructuring initiatives. Engage with international stakeholders for cross-border projects. Collaborate on financing arrangements and corporate governance matters.
Job Responsibility:
Provide legal support and advice across all divisions of the company, ensuring compliance with applicable laws in areas such as property development, construction
Draft, review, and finalise a range of agreements, including but not limited to purchase and sale agreements, joint venture agreements, shareholder agreements, and service contracts
Manage and coordinate with external counsels handling various legal matters like sales and purchases, land acquisitions, and joint ventures
Assist the HR Department with industrial relations matters, including conducting investigations, advising on domestic inquiry procedures, and supporting or participating in Domestic Inquiries when necessary
Support the legal aspects of the company’s restructuring initiatives, including the restructuring of subsidiaries and affiliated entities
Foster relationships with international stakeholders, particularly in the USA and Hong Kong, to support collaboration on international projects
Assist in ensuring legal compliance in cross-border matters
Provide legal support in managing financing arrangements, including project financing, term loans, bridging loans, and debentures
Work closely with financial institutions, external solicitors, and internal teams to ensure compliance
Work alongside the Company Secretary on all corporate governance matters, including the preparation and circulation of urgent director's and shareholder's resolutions.
Requirements:
Bachelor of Laws (LL.B)
At least 5 years PQE
Strong communication and presentation skills
Capable of working independently
Strong interpersonal skills, work ethic, and with high integrity.
