Job Description:

A leading Bay Area law firm is seeking a Mid-Level Transactional Attorney with 3–5 years of experience to work in Walnut Creek. The role involves drafting and negotiating contracts, franchise law compliance, regulatory guidance, and client consultation. An interest in franchise law and the ability to work in a hybrid model are emphasized.

Job Responsibility:

Draft and negotiate contracts such as master service agreements, licensing deals, and franchise-related contracts
Advise clients on federal and state franchise law requirements, including franchise disclosure documents (FDDs), renewals, terminations, and exemption-based strategies
Respond to state regulatory comment letters and provide compliance guidance
Serve as outside general counsel to franchisors, addressing corporate and commercial legal matters
Analyze complex legal issues and provide thoughtful, practical advice for clients.

Requirements:

J.D. from an accredited law school and active membership in the California Bar
3–5 years in transactional law, with a focus on contracts, corporate governance, or similar areas (experience in litigation, trademarks, or data privacy is a plus)
Strong drafting, negotiating, and research abilities
Attention to detail and exceptional communication skills (both written and verbal)
Ability to manage multiple responsibilities, interface directly with clients, and deliver practical legal guidance
Curiosity and a desire to master franchise law
Familiarity with MS Office Suite and document management systems.

Nice to have:

Experience in litigation, trademarks, or data privacy
Familiarity with MS Office Suite and document management systems.
