Job Description:

We are seeking a motivated Transactional Attorney to join our dynamic legal team. This role is ideal for a skilled and detail-oriented individual passionate about building expertise in corporate law. As a member of our team, you will work closely with senior lawyers and clients to navigate complex transactions, conduct due diligence, draft documents, and ensure compliance with applicable laws. Job Responsibility:

  • Assist in structuring, reviewing, and executing transactional agreements in the areas of tax, public finance, and corporate law
  • Draft and revise contracts, tax opinions, closing documents, disclosure documents, and various corporate filings
  • Conduct detailed legal research on relevant federal, state, and local regulations related to transactional planning and execution, ensuring compliance
  • Review and analyze corporate and financial materials, funding proposals, and tax-related documentation for accuracy and legal sufficiency
  • Collaborate with clients on legal strategies to optimize the financial and structural aspects of transactions
  • Provide support to senior attorneys by preparing opinions, memos, and analyses for transactional matters

Requirements:

  • Juris Doctor (JD) from an accredited law school
  • Must be licensed to practice law in at least one U.S. jurisdiction
  • 0–3 years of relevant transactional legal experience, preferably in tax, public finance, or corporate law settings
  • Strong legal research and analytical skills
  • Excellent drafting and negotiation skills
  • Ability to manage multiple tasks and deadlines in a fast-paced environment
  • Effective written and oral communication skills
  • Proficiency in Microsoft Office Suite and legal research tools (e.g., LexisNexis, Westlaw)
  • Demonstrated proficiency in Tax Law
  • Experience with 501C3 regulations and compliance
  • Proficiency in Public Finance sector
  • Ability to draft and review legal agreements effectively
  • Solid understanding of Corporate Law
