Job Description:

We are seeking a motivated Transactional Attorney to join our dynamic legal team. This role is ideal for a skilled and detail-oriented individual passionate about building expertise in corporate law. As a member of our team, you will work closely with senior lawyers and clients to navigate complex transactions, conduct due diligence, draft documents, and ensure compliance with applicable laws. Job Responsibility:

Assist in structuring, reviewing, and executing transactional agreements in the areas of tax, public finance, and corporate law
Draft and revise contracts, tax opinions, closing documents, disclosure documents, and various corporate filings
Conduct detailed legal research on relevant federal, state, and local regulations related to transactional planning and execution, ensuring compliance
Review and analyze corporate and financial materials, funding proposals, and tax-related documentation for accuracy and legal sufficiency
Collaborate with clients on legal strategies to optimize the financial and structural aspects of transactions
Provide support to senior attorneys by preparing opinions, memos, and analyses for transactional matters

Requirements:

Juris Doctor (JD) from an accredited law school
Must be licensed to practice law in at least one U.S. jurisdiction
0–3 years of relevant transactional legal experience, preferably in tax, public finance, or corporate law settings
Strong legal research and analytical skills
Excellent drafting and negotiation skills
Ability to manage multiple tasks and deadlines in a fast-paced environment
Effective written and oral communication skills
Proficiency in Microsoft Office Suite and legal research tools (e.g., LexisNexis, Westlaw)
Demonstrated proficiency in Tax Law
Experience with 501C3 regulations and compliance
Proficiency in Public Finance sector
Ability to draft and review legal agreements effectively
Solid understanding of Corporate Law
